2. Definitions

• "Company", "We", "Us", "Our" refers to Juroc Solutions SRL.
• "Website" refers to juroc.tech and all its pages.
• "Services" refers to the sports coaching discovery platform and related services operated by the Company, including coach discovery, profile listings and booking features.
• "Client", "You", "Your" refers to any individual or legal entity using the Website or engaging our Services.
• "Agreement" refers to any service contract, statement of work or project agreement entered into between the Company and the Client.

3. Use of the Website

3.1 Permitted Use

You may use the Website for lawful purposes only. You agree not to:

• Use the Website in any way that violates applicable laws or regulations
• Transmit any unsolicited commercial communications (spam)
• Attempt to gain unauthorised access to any part of the Website or its infrastructure
• Use automated tools to scrape or extract data from the Website without our consent
• Upload or transmit any malicious code, viruses or harmful content

3.2 Intellectual Property

All content on the Website — including text, graphics, logos, images and code — is the property of Juroc Solutions SRL or its licensors and is protected by Romanian and EU intellectual property law. You may not reproduce, distribute or create derivative works without our prior written consent.

4. Platform Services

4.1 Platform Use

Access to and use of the platform's features — including coach discovery, profile viewing and booking — is governed by these Terms and any additional terms communicated to registered users. In the event of any conflict, specific platform terms shall prevail.

4.2 Coach Listings

Coach profiles and availability are provided by the coaches themselves. Juroc Solutions SRL endeavours to verify coach credentials but does not guarantee the accuracy of user-submitted information. Users are encouraged to verify coach qualifications independently.

4.3 Bookings

Any booking made through the platform is an agreement between the user and the coach. Juroc Solutions SRL acts as an intermediary and is not a party to individual coaching agreements.

5. Intellectual Property

All content on the Website — including text, graphics, logos, images and code — is the property of Juroc Solutions SRL or its licensors and is protected by Romanian and EU intellectual property law. Coach profiles and user-generated content remain the property of their respective authors; by submitting content you grant Juroc Solutions SRL a non-exclusive licence to display it on the platform.

7. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party and marked as confidential or which a reasonable person would consider confidential. This obligation survives termination of any Agreement for a period of 3 years.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Company's total liability for any claim arising from these Terms or any Agreement shall not exceed the total fees paid by the Client to the Company in the 12 months preceding the claim.
• The Company shall not be liable for any indirect, incidental, consequential, special or exemplary damages.
• The Website is provided "as is" without warranties of any kind.

9. Indemnification

You agree to indemnify and hold the Company harmless from any claim, damage or expense arising from your breach of these Terms or any unlawful use of the Website or Services.

10. Termination

Either party may terminate a Service Agreement in accordance with the termination provisions in that Agreement. Upon termination, the Client shall pay for all services rendered up to the termination date. The Company will deliver all completed work products and Client-owned assets.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, internet outages or pandemics, provided the affected party notifies the other promptly.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Romania. Any disputes arising from these Terms or any Agreement shall be resolved:

1. First, through good-faith negotiation between the parties.
2. If unresolved within 30 days, through mediation.
3. If mediation fails, through the competent courts in București, Romania.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of the Website after changes constitutes acceptance. For existing service agreements, changes to these Terms do not affect the governing Agreement.
